Best Bubbles LaundryBack to ordering

12-month commercial account agreement

Read the full terms below, then submit your business details for Best Bubbles to review and countersign. You will receive a reference number on this page. This agreement takes effect only after both businesses sign.

Provider: Best Bubbles Laundry. The provider's full legal company name and authorized signature are entered when Best Bubbles accepts your submission. Commercial pickup and delivery has a 30-pound minimum. Household orders are separate and have a 25-pound minimum.

1. Business customers only; signing authority.

The Customer is entering this Agreement solely for its business purposes. Each signer represents that the signer is authorized to bind the legal entity named above. Each signer signs only in a representative capacity for that entity. Neither signer becomes a party individually merely by signing this Agreement. The parties must enter their full legal entity names; a trade name alone does not identify the contracting business.

2. Services and weights.

Provider will accept eligible standard wash-and-fold laundry for pickup and delivery at agreed times and addresses. The minimum pickup-and-delivery order is 30 pounds for commercial accounts. The minimum pickup-and-delivery order is 25 pounds for households; household orders are separate from this commercial Agreement and do not qualify for its commercial pricing. Provider will determine the actual weight when laundry is received, before processing; the actual eligible weight, rather than an online estimate, controls the final charge. Scheduling, detergent selection, pickup instructions and order status may be entered on www.bestbubbleslaundry.com. Provider may decline unsafe items, including laundry with pests, mold, chemicals or heavy bodily-fluid soiling.

3. New commercial account promotion and contract price.

If Customer is a qualifying new commercial account, its first 200 cumulative pounds of eligible standard wash-and-fold laundry during this Agreement are $1.00 per pound. This is one offer per business, applies only to the first 200 cumulative eligible pounds, and does not apply to household accounts or specialty items. Any order crossing the 200-pound threshold is split between the promotional and contract rates. After those 200 pounds, and for all other eligible standard wash-and-fold pounds during the term, the price is $1.65 per pound, with pickup and delivery included. Unused promotional pounds expire at the end of the term. This promotion is subject to Provider confirming new-account eligibility before final billing.

4. Specialty items and changes.

Comforters are priced by the piece: Twin/Full $17, Queen $20, King $25, plus $6 for down alternative. Rugs, mattress pads, dog beds, oversized bedding and other specialty items require a separate price quote accepted by Customer before processing. Specialty items do not count toward the 200 promotional pounds. Any change to the above prices or the promotional allowance requires a written agreement signed by both business entities.

5. Invoicing, unpaid balances and lawful remedies.

Provider will email the final Square invoice after actual eligible weight is determined and processing is completed. Payment is due at delivery unless a later date is stated on the invoice or agreed in writing. If payment is overdue, Provider may send written notice to the billing email above stating the invoice number, amount due and how to dispute it. Customer has 15 calendar days after notice to pay or send a good-faith written dispute with supporting details. Provider will investigate a timely dispute in good faith; any undisputed balance remains due.

For an undisputed overdue balance, Provider may take these actions:
1. Refuse or pause new pickups while the balance remains overdue. Provider will return laundry already accepted and will not hold it as security for payment.
2. Terminate this Agreement if a material unpaid balance remains uncured 30 days after written overdue notice, as provided in Section 6.
3. Refer the unpaid balance to a lawful collection agency or attorney, or bring a civil claim against the named Customer business for the unpaid principal, any interest authorized by Virginia law, and court costs allowed by law. Customer agrees to pay Provider's reasonable, documented collection expenses and attorney fees incurred to collect an undisputed balance, to the extent permitted by law and enforceable by a court. Any suit must be filed within the applicable statutory limitations period.
No automatic late fee or personal guaranty is created. Charges for accepted orders survive the end of this Agreement.

6. Term and ending the Agreement.

This Agreement begins on the start date and ends on the end date, which must be 12 months later. There is no monthly fee, minimum order frequency or monthly weight commitment, and no automatic renewal. Neither party may end the agreed price term merely for convenience. Either party may terminate for a material breach that remains uncured thirty days after written notice. Provider may immediately suspend new pickups for fraud, threats or abusive conduct, unlawful use, or unsafe or hazardous laundry; termination for a material breach remains subject to the 30-day written notice and cure period. Termination does not cancel charges already incurred; lawful claims that arose earlier survive. At the end date, any later service requires a new agreement or is subject to Provider's then-current regular price.

7. Laundry handling and claims.

Customer will have laundry bagged and ready, remove valuables, identify special-care items and disclose known hazards and stains. Provider will wash eligible laundry using the detergent selected for the order. Average 24-hour turnaround for items received before 3:00 PM is a service goal, not a guarantee. Claims for missing or damaged items must be reported within 24 hours after delivery with reasonable documentation, to the extent that notice period is lawful. Provider may inspect the item and records before resolving a claim.

8. Limits on Provider's business liability.

To the fullest extent permitted by Virginia law, Provider has no liability for ordinary shrinking, fading, color bleeding, wear, pre-existing damage, unsuitable care labels, stains that do not come out, valuables left in bags or pockets, or delays outside Provider's reasonable control. As between the two businesses, Provider is not liable for Customer's lost profits, loss of business, reputational harm, amounts Customer promised its own clients, or other indirect or consequential damages arising from an order. If Provider is proven responsible for direct loss of or physical damage to eligible laundry, Customer's exclusive contractual remedy, to the extent lawful, is repair, replacement with an item of comparable used condition, or reimbursement of fair used value, at Provider's choice, up to $100 total per order. The limit does not apply to bodily injury, fraud, intentional or willful misconduct, or any liability that applicable law does not permit the parties to exclude or limit. This paragraph allocates risk between the contracting businesses; it cannot extinguish a claim belonging to a person who did not agree to it.

9. Entity-only contract liability; no personal guaranty.

Provider obligations belong to Provider, and Customer obligations belong to Customer. For claims for payment, service performance, breach of this Agreement or other duties created solely by this Agreement, each party agrees to seek recovery from the other named business entity, not from its owners, members, shareholders, managers, officers, directors, employees, agents or authorized signers personally. Neither business or signer gives a personal guaranty, pledges personal property, or assumes the other business's debts under this Agreement. A personal guaranty may be created only by a separate document that expressly identifies the individual guarantor and is separately signed by that individual in a personal capacity. This paragraph concerns contract obligations between the two named businesses; it does not bar a claim against a person for that person's own fraud, intentional misconduct, independently actionable wrongdoing, an earlier separate guaranty or a liability that cannot lawfully be waived.

10. Customer's downstream clients and other third parties.

If Customer serves hotels, guests, residents, tenants or other clients, Customer is responsible for its own agreements with them and for obtaining authority to submit their laundry for processing. The commercial price is not transferable to another business. Provider contracts with Customer, not those downstream persons, under this Agreement. Customer will not promise any downstream person that Provider has assumed Customer's obligations without Provider's written consent. Customer, as a business, will defend and reimburse Provider for a third-party claim arising from Customer's failure to obtain permission to tender laundry, incorrect representations to its own clients, or hazardous items Customer failed to disclose, except to the extent caused by Provider's own misconduct. No downstream person signs this Agreement merely because Customer submits that person's laundry; this Agreement cannot waive an independent legal claim of someone who is not a party to it.

11. Taxes and general terms.

Virginia retail sales tax is not charged on the described wash-and-fold service; any different tax imposed by applicable law on a separately taxable item will be identified on the invoice. Virginia law governs. An action between the parties arising from this Agreement shall be brought in a court with proper jurisdiction in Chesapeake, Virginia, to the extent permitted by law. Notices must be sent to the business contact information each party provides in writing. This Agreement becomes effective only when both named businesses sign it. Once signed, it is the entire agreement for the covered commercial service and supersedes earlier inconsistent proposals for that service; a written amendment signed by both entities is required for changes. If a provision is unenforceable, the remaining provisions remain in force. Electronic signatures and counterparts are permitted.
